We need to coordinate virtual/electronic ideas to spread KPFK’s presence throughout the Station signal area and beyond in 2022 moving forward. We need the soldiers on the ground to help spread the word about KPFK 90.7 FM, a Non-Commercial listener supported radio station since 1959.

Article Seven, Local Station Boards, Section 3: Specific Powers and Duties
Each LSB, acting as a standing committee of the Foundation's Board of Directors, shall have the following powers, duties and responsibilities related to its specific radio station, under the direction and supervision of the Foundation's Board of Directors:

A. To review and approve that station's budget and make quarterly reports to the Foundation's Board of Directors regarding the station's budget, actual income and expenditures.

B. To screen and select a pool of candidates for the position of General Manager of its respective radio station, from which pool of approved candidates the Executive Director shall hire the station's General Manager.. The LSB may appoint a special sub-committee for this purpose.

C. To prepare an annual written evaluation of the station's General Manager.

D. Both the Executive Director and/or an LSB may initiate the process to fire a station General Manager. However, to effectuate it, both the Executive Director and the LSB must agree to fire said General Manager. If the Executive Director and the LSB cannot agree, the decision to terminate or retain said General Manager shall be made by the Board of Directors.

E. To screen and select a pool of candidates for the position of station Program Director, from which pool of approved candidates the station's General Manager shall hire the station's Program Director. The LSB may appoint a special sub-committee for this purpose.

F. To prepare an annual written evaluation of the station's Program Director.

G. To work with station management to ensure that station programming fulfills the purposes of the Foundation and is responsive to the diverse needs of the listeners (demographic) and communities (geographic) served by the station, and that station policies and procedures for making programming decisions and for program evaluation are working in a fair, collaborative and respectful manner to provide quality programming.

H. To conduct "Town Hall" style meetings at least twice a year, devoted to hearing listeners views, needs and concerns.

I. To assist in station fundraising activities.

J. To actively reach out to underrepresented communities to help the station serve a diversity of all races, creeds, colors and nations, classes, genders and sexual orientations, and ages and to help build collaborative relations with organizations working for similar purposes.

K. To perform community needs assessments, or see to it that separate "Community Advisory Committees" are formed to do so.

L. To ensure that the station works diligently towards the goal of diversity in staffing at all levels and maintenance of a discrimination-free atmosphere in the workplace.

M. To exercise all of its powers and duties with care, loyalty, diligence and sound business judgment consistent with the manner in which those terms are generally defined under applicable California law.

22. Article Three, Members of the
Foundation, Section 1: Members
Defined

There should be two classes of
members : (A) âListener-Sponsored
Membersâ and (B) âStaff Membersâ,
who shall collectively be referred to
as â Members.â
CURRENT BYLAWS

LISTENER-SPONSORED MEMBER â Listener-Sponsored Membersâ shall be any natural persons who within the preceding 12-mont period: (1) have contributed a minimum of $25 to any Foundation radio station, or such minimum amount as the Board of Directors may from time to time decide; or (2) have volunteered a minimum of three (3) hours of service to any Foundation radio station. Said contribution shall be considered non-refundable. Said volunteer work shall be performed under the supervision of the Foundation radio station management and shall include volunteer work on committees of the Local Station Board. Where a contribution is made jointly by two individuals the contribution is in an amount equal to or more than the annual membership contribution required for two memberships (as set by the Board from time to time), then each of the joint donors shall be considered an individual and separate Listener-Sponsored Member. (For example, if John and Mary Smith jointly contribute $50 or more, then John Smith and Mary Smith will each be Members and each will have individual and separate membership rights. However, if John and Mary Smith jointly contribute $40, then they shall jointly share one membership.

Staff, vote as a staff and serve on
the LSB as a staff.

hours within the previous 3 months of
Staff from 30 hours to 24 hours, there
will be changes in the following:

27. Article Seven, Local Station Boards,
Section 10: Local Station Board
Advisory Committees

CURRENT BYLAWS

An LSB may by resolution, designate one or more advisory committees, to serve at the pleasure, direction and supervision of the LSB. Any such advisory committee shall include, at least, two (2) LSB members. Members affiliated with that state radio station shall be eligible for appointment to a committee. Station Advisory Committee members shall not be considered agents of the Foundation or the radio station and shall not have the authority to bind the Foundation or the radio station with which it is affiliated.

ADD

An LSB shall have a Finance Committee, which includes the Business Manager and General Manager, a Personel Committee, a Programming Committee, a Governance Committee, an Outreach Committee, a Development Committee, and a Programming Committee,

each committee with at least 2 LSBs and members affiliated with that station shall be eligible for membership of these committees.

REASONING :
Committee work is essential for the station to connect with the Membership and grow the station.

To continue to collect election information status at all five station to be reviewed by the PNB in adherence with motion passed 9/13/21 (traffic reports, cart schedules, etc..)

PNB Motion:
Whereas the Pacifica Bylaws require the airing of candidate statements and on-air forums with call-in Q&A’s from listeners .

and Where as the current LSB election is already in the 4th week of a 9 week balloting period.

Therefore, the PNB Elections Committee strongly urges the PNB to instruct the IED within the next 24 hrs to instruct the GMs of all 5 stations to:

1. Air informative and promotional carts about the election and upcoming candidates carts and forums and the members ability to reset their vote.

2. Provide to the PNB and Election Committee a traffic report of scheduled on-air candidate carts that begin airing in rotation around the clock starting at midnight e.s.t. on 9/20/21 pre-empting all programming to accommodate all candidates, with a focus at prime-time drive hour slots in the morning and evening, but not excluding midnight to 6 a.m. .

3. Provide to the PNB and Election Committee a traffic report of scheduled candidate forums allowing for 10 mins per candidate when scheduling so that an hour forum will feature 6 candidates, etc. to be aired in same rotation protocols as stated above starting 9/20/21.

AND Discussion of new motion to the PNB to be addressed on 9/ 30:
Whereas the ongoing elections for listener and staff delegates at all five stations began and have continued without adequate information for members regarding the candidates and issues, a flaw that is manifest in the low turnout of members who have voted at most stations with only about 3 weeks of the total of 9 weeks of balloting remaining,

Resolved that the voting be immediately halted at all 5 stations, and that a joint meeting be convened for both the PNB and the Elections Committee and scheduled by 9/30 so that adequate and Bylaws-required candidate statements and forums can be adequately aired with adequate notice so that the process can be compliant with the Bylaws ; and be it further.

Resolved that for the scheduled listener and staff delegate elections next year, no ballots be distributed until adequate and Bylaws-mandated candidate statements and forums have first started to run prior to ballots going out, and continue running during the voting period.

 Michael C. Keith (born 1945 in Albany, New York) is an American media historian and author. He has served as a faculty member of the Boston College Communication Department [1] since 1993 and is the author of some two dozen books on media. He is one of the country's foremost authorities on the social impact and role of radio in American culture. He has lectured in Russia, Spain, Tanzania, and at several institutions in the U.S. and Canada. He was appointed emeritus professor in 2017 upon retiring from Boston College.

Keith served as a visiting professor at George Washington University and Marquette University and Director of Telecommunications at Dean College. He frequently appears in both American and foreign media as an authority on electronic media. Prior to becoming a full-time academic in the late 1970s, he worked as a broadcast professional for more than a decade.

Keith's substantial published output melds his own experience, a network of contacts in and beyond the radio business, and careful research, to produce solid analysis of what a growing number of people in and out of the industry see as the growing crisis of broadcast radio.

A number of his books have been co-authored with Robert Hilliard, now retired from Emerson College. The team usually works with Keith conceiving the topic and doing much of the initial legwork research and Hilliard taking on the initial book manuscript draft. They both work on the final version. Their co-authored works, and those of Keith alone, often tackle controversial topics such as the demise of local radio programming (2005); the legal intricacies of indecent or even obscene programming (2003); the use of radio by extreme hate groups (1999), a title on President Clinton's summer reading list one year; and the use of radio by Native Americans (1995), the first monograph to appear on that topic.

Keith has been a Stanton Fellow of the International Radio & Television Society and received the Distinguished Scholar Award given by the Broadcast Education Association and the Achievement Award in the Humanities by the University of Rhode Island.

In addition to his many media books and academic articles, Keith has written a well-reviewed memoir of his unconventional childhood years — The Next Better Place (Algonquin Books, 2003) — as well as a coming of age novel, Life is Falling Sideways (Parlance, 2009). He has written an ever-expanding list of short stories, which have appeared in numerous online and print journals, such as The Literati Quarterly, The Penmen Review, Lowestoft Chronicle, "Grey Sparrow Journal," and several annual anthologies. Collections of his stories are available in paperback editions and in ebook formats; these include Hoag's Object (Whiskey Creek Press), And Through the Trembling Air and Of Night and Light (Blue Mustang Press), Sad Boy (Big Table Publishing), Everything is Epic (Silver Birch Press), The Collector of Tears (Underground Voices), If Things Were Made To Last Forever (Big Table Publishing), Caricatures (Strange Days Books), The Near Enough (Cold River Press), Bits, Specks, Crumbs, Flecks (Vraeyda Literary), Slow Transit (Cervena Barva Press), Perspective Drifts Like a Log on a River (PalmArtPress), Let Us Now Speak of Extinction (Mad Hat Press), Stories in the Key of Me (Regal House Publishing), "Insomnia 11" (Mad Hat Press),"Leaning West" (Cervena Barva Press), and "Pieces of Bones and Rags" (Cabal Books). The announcement made that the FY2020 audit had been submitted to the CA AG’s office was premature; it was completed but was not filed with the State of California. Those of us who made that announcement were under the misconception that it had indeed been filed, and we apologize for the error.

As it turns out, we are not required to file our FY2020 audit with the CA AG office until the due date of August 16; at that time, or sooner if it’s ready, we will send the audit, IRS tax return (Form 990), and the annual State of California Registration Renewal Fee Report (RRF-1) to the Registry of Charitable Trusts in the California Attorney General’s office.

The FY2020 audit will be released to the public at the same time as the full set of documents is completed and sent off.

Follow up from regular meeting on 4-14-21, Agenda items not addressed then. Due to special guests:new Interim GM Moe Thomas and Membership Dept. Terry Guy.

We will revisit the Business Manager's Summary Report in more detail, go over the P&L from February 2021 FY 2021, and possibly the March if received in time. We will also address a local proposed Budget produced by a couple of KPFK Finance Committee members, to compare to an expected Budget produced by the PNB-Pacifica National Board Finance Committee, if arrives in time. Also again consult with the new IGM if available for an update on the proposed 4/20/21 3 week Fund Drive...
We hope to dedicate quality time to specific areas without diversion. We need to address the Business Manager on several back unanswered questions, regarding reports, etc.

The LSB met in closed session to review the results of a motion to remove a delegate. It failed to achieve the required 2/3 majority necessary to pass. A motion to censure passed.
